1. General Provisions

  1. These Terms and Conditions together with the Privacy Policy and any other documentation on the website are intended to provide information about THE SOFTWARE KINGS and to establish for customers the rules on the purchase of products in the e-shop managed by THE SOFTWARE KINGS on the website.
  2. These Terms and Conditions are applicable not only to customers, but also to any anonymous user who enters the website and, by entering, such persons agree to these Terms and Conditions, Privacy Policy and any other documentation of the website.
  3. These Terms and Conditions apply to each Contract of Sale between the Supplier and customers in respect of the purchase of Products. Before purchasing anything through the website, customers are encouraged to familiarize themselves carefully with these Terms and Conditions. No purchase can be made without having the Terms and Conditions and Privacy Policy confirmed by the customer.
  4. You are advised that the Terms and Conditions may change from time to time in accordance with the procedure set out in Section 2.3 below. Before placing any order, THE SOFTWARE KINGS strongly recommends customers to read the Terms and Conditions to fully familiarize themselves with the specific terms under which the order will be placed.
  5. Definitions:

    1. Account — an account that offers the customer the possibility to use the services provided on the website and obtain all the benefits of the website.
    2. Customer — a person who has registered an Account on the Website and intends to purchase a product using the services provided by THE SOFTWARE KINGS.
    3. THE SOFTWARE KINGS — with its registered office at 4010 South Ocean Drive Blvd, Hollywood, Florida, 33019
    4. Order — an instruction to purchase digital goods or services made by a customer through the website.
    5. Privacy Policy — rules that establish personal data protection and privacy processes provided by THE SOFTWARE KINGS.
    6. Product — digital content that has the activation code and can only be used after it is activated on the customer’s computer platform.
    7. Sales Contract — any contractual agreement between the customer and the Provider that obligates the Provider to transfer ownership of the digital content to the customer and the customer to pay the price thereof.
    8. Service — one of the services that are provided by THE SOFTWARE KINGS as described in these Terms and Conditions.
    9. Terms and Conditions — this set of rules that determines the rights and obligations of customers and THE SOFTWARE KINGS and the use of the website terms.
    10. Website — a website that is accessible on the internet platform under the address: www.thesoftwarekings.com

2. Applicability of Terms and Conditions

  1. Customers who are prohibited from using the Website due to state regulations or regional restrictions, including the Customer’s current country/region of residence and place of use of the Services, are asked to refrain from using the Website.
  2. The client confirms that they are at least 16 (sixteen) years of age or have reached the age under the respective laws of the country that allows them to assume responsibilities for obligations arising from contractual relationships and has full capacity to take legal action. In addition, the customer confirms that there are no restrictions under the respective laws of the country to use the services provided by THE SOFTWARE KINGS.
  3. THE SOFTWARE KINGS has the right to make changes and modifications to these Terms and Conditions, including the right to establish new provisions and withdraw old ones, at its own discretion, unilaterally and at any time by announcing the amendments to the Terms and Conditions on the website. It is the client’s obligation to regularly check whether the Terms and Conditions were subject to amendments. By continuing to use the Website and Services, the Client confirms that they are bound by all changes to the Terms and Conditions. Amendments to the Terms and Conditions are effective 10 (ten) days after the announcement on the Website, unless explicitly stated otherwise.
  4. THE SOFTWARE KINGS communicates with the customer by sending emails or through the electronic system of the website account leaving notices to them. Customer unconditionally consents to receive communications electronically and agrees that all agreements, notices, disclosures, and other communications that THE SOFTWARE KINGS provides electronically satisfy any legal requirement of such written communication.

3. Formation of a Sales Contract

  1. Each Order placed by the Customer through the Website shall be deemed to be an offer by the Customer to purchase Products in accordance with these Terms and Conditions. THE SOFTWARE KINGS has the right to verify the Customer’s payment method, billing and shipping addresses before accepting the Customer’s Order. THE SOFTWARE KINGS shall expressly accept by giving notice of acceptance, or impliedly upon fulfilling the Order, in whole or in part. Any form of acceptance by THE SOFTWARE KINGS will result in a Contract of Sale between Vendor and Customer, governed by these Terms and Conditions.
  2. The Customer may purchase Products (codes) to activate games through the game platform. No Order will be deemed to have been accepted by THE SOFTWARE KINGS until the ordered Products (digital goods) have been made available and the Customer receives the relevant confirmation email. THE SOFTWARE KINGS will attempt to notify Customer in the event that THE SOFTWARE KINGS declines to accept an Order using the email address or other contact information that Customer has provided with the Order. Once the code has been validated (upon acceptance by the platform), it will be considered as “used”.
  3. No terms, conditions or specifications, or any similar wording or documents supported by, delivered with or contained in the Customer’s Order, shall form part of the Contract of Sale entered into upon confirmation of the Order merely as a result of such document being referred to in the Contract of Sale and the Customer waives any right it might otherwise have to rely on such terms.
  4. THE SOFTWARE KINGS will execute Orders as per Customer’s requirements but may, at its sole discretion, provide substitute Products when requested by Customer, or when the Product has been replaced by the latest version. For the avoidance of doubt, any past adaptation of such Customer requests shall not be construed as past contractual performance upon which a Customer may require THE SOFTWARE KINGS to continue to adapt such requests in the future. To the extent that Orders cannot be fully satisfied from stock, the unsatisfied balance (at the Customer’s option) will either be placed on hold to be satisfied when THE SOFTWARE KINGS becomes available again or will be cancelled and refunded to the Customer.
  5. Both THE SOFTWARE KINGS and Customer acknowledge that they have not relied on any statement, promise or representation made or given by or on behalf of the other that is not set forth in the Contract of Sale entered into upon confirming the Order or in any confirmation email; provided, however, that such confirmation email does not constitute a modification of the Terms and Conditions governing such Contract of Sale. Nothing in these Terms and Conditions shall exclude or limit either party’s liability for fraud or fraudulent misrepresentation.
  6. Instructions for making payments through the website can be found here. These instructions are an integral part of the Terms and Conditions.

4. Termination and Refunds

  1. Given the digital nature of the Products (activation codes) marketed and sold through the website, the Customer may submit a refund request on the absolute condition that the purchased Product (activation code) has not been displayed on the THE SOFTWARE KINGS platform. Refund requests must be completed through the Customer Support section of the Website within 14 (fourteen) days of delivery of the Product (activation code) by THE SOFTWARE KINGS to the Customer.
  2. Please note that THE SOFTWARE KINGS is generally unable to verify whether the Product has been used after purchase. Therefore, in accordance with the law, the Customer accepts and acknowledges that he/she will lose the right of withdrawal and to request a refund as soon as the Customer views the Product (activation code). If the request is granted, the refund process may take up to 14 (fourteen) days to complete.
  3. After the Product has been displayed on the THE SOFTWARE KINGS’s platform, the Customer is entitled to obtain a refund from THE SOFTWARE KINGS only if:
    1. the Product (activation code) is not as described (missing content, version is incorrect, code is for a different platform, etc.); or
    2. the Product (activation code) does not work as expected (indicated as invalid or used when the Customer attempts to activate it on the correct platform).
  4. If the Customer’s refund request is granted, THE SOFTWARE KINGS will return the money paid by the Customer to the same source from which the original payment was made.
  5. In order for the Customer to exercise its rights under Section 4.3, the Customer must provide THE SOFTWARE KINGS with sufficient evidence of the relevant deficiencies, as well as evidence that such deficiencies already existed at the time of purchase of the Digital Product.

5. Product Prices

  1. The prices of the Products will be as stated on our website. THE SOFTWARE KINGS strives to ensure that the prices of the Products are correct at the time the relevant information was entered into the system. However, if we discover an error in the price of the Product(s) you have ordered, Section 5.3 will apply.
  2. Prices for THE SOFTWARE KINGS Products may change from time to time, but the changes will not affect any Contract of Sale already concluded.
  3. The THE SOFTWARE KINGS website contains a large number of Products. It is always possible that, despite the reasonable efforts of THE SOFTWARE KINGS, some of the Products on the Website may be mispriced. If THE SOFTWARE KINGS discovers an error in the price of the Products that Customer has ordered, THE SOFTWARE KINGS will write to Customer to inform them of this error and give them the option to continue purchasing the Product at the correct price or cancel their Order. THE SOFTWARE KINGS will not process the Customer’s Order until it has the Customer’s instructions. If THE SOFTWARE KINGS is unable to contact Customer using the contact details provided by Customer during the Order process, THE SOFTWARE KINGS will treat the Order as cancelled and notify Customer. Please note that if the error in pricing is obvious and unmistakable and could reasonably have been recognized by Customer as an erroneous price, THE SOFTWARE KINGS does not have to provide the Products to Customer at the incorrect (lower) price.

6. User Accounts

  1. The person who wants to access all the Services provided on the Website must register and create an Account. However, it will not be necessary to have a user account to purchase Products on the website. Registration is carried out by filling in all the necessary information on the registration form found on the website. The person will be asked to provide their username, email address, password, and other information. To complete the registration, the individual will need to agree to the Terms and Conditions, Privacy Policy and any other documentation on the website, if any. Failure to provide any information that, in the sole discretion of THE SOFTWARE KINGS, is necessary to verify such new user (regardless of whether such information is required in these Terms and Conditions) is considered grounds for refusing continued registration.
  2. Registration on the Website by the Client is equivalent to such person having read, understood and accepted these Terms and Conditions in their entirety, including the Privacy Policy and any other documentation on the Website, and has consented to the processing by THE SOFTWARE KINGS, now and in the future, of personal data transferred to THE SOFTWARE KINGS during the website registration process.
  3. All persons who wish to have access to all the Services provided by THE SOFTWARE KINGS must agree to THE SOFTWARE KINGS’s requirement that THE SOFTWARE KINGS have access to tools to locate the Account administrator’s computer device for the purpose of identifying the country from which the registration is made.
  4. At any time, if THE SOFTWARE KINGS believes that the Account has a high risk of causing harm to any person, THE SOFTWARE KINGS has all rights to suspend use of the Account by restricting access to log into the Account, hold transactions, and the like.
  5. THE SOFTWARE KINGS also has the right to ask Customers to submit eligible documents (copies or scans) to authenticate the appropriate information that was completed on the registration form.
  6. Customers are responsible for the reasonable care of the Account and must ensure that the email address is up to date.
  7. In the situation where THE SOFTWARE KINGS decides that the website needs to be modernized or is experiencing technical problems, THE SOFTWARE KINGS has the right to restrict the ability to log in to the Account or use the respective Services or even general access to the website.
  8. Customers acknowledge that providing any information about their Accounts could cause harm to THE SOFTWARE KINGS or third parties.
  9. The Client will not use other Accounts and will not make its Accounts available to other Clients or third parties.

7. Terms and Conditions of Use

  1. THE SOFTWARE KINGS grants Customers a limited, non-exclusive, non-transferable, non-sublicensable license to access and make personal, non-commercial use of the Services provided by THE SOFTWARE KINGS.
  2. Customers are obligated not to abuse the THE SOFTWARE KINGS Services and to use them only as required by law and these Terms and Conditions.
  3. All rights of THE SOFTWARE KINGS or its licensors, suppliers, owners, or other persons are protected even if not expressly granted in these Terms and Conditions.
  4. Any intellectual property objects on the website, except those uploaded, transmitted, available, published by the Clients, constitute the intellectual property of THE SOFTWARE KINGS.
  5. Clients are obliged to read and accept the Terms and Conditions and Privacy Policy.
  6. THE SOFTWARE KINGS is permitted to provide Customers with hyperlinks on the Website to other Product providers.
  7. Clients confirm and represent that:
    1. they will not post any inappropriate or incorrect information;
    2. They will not upload or disseminate any information that may violate laws;
    3. they will not provide false information;
    4. will not attempt to hack, modify, disable or impair the Website;
    5. you will not use the Website for purposes other than intended;
    6. they will not attempt to collect any personal data;
    7. they will not use the Website for any illegal purpose;
    8. will not attempt to interfere with the activity of the Website;
    9. They will not transact with money from illegal sources;
    10. All of the actions mentioned above include attempts to perform one of them or create circumstances for such actions to materialize.

8. Obligations of THE SOFTWARE KINGS

  1. THE SOFTWARE KINGS will cooperate with Customers regarding all questions related to the proper provision of the Services. Communication between THE SOFTWARE KINGS and Customers will be carried out through the website’s help center or by email.
  2. THE SOFTWARE KINGS will provide Customers with technical support in the event that they encounter issues related to the functionality of the Account and the website.

9. Obligations of Clients

  1. Customers agree and acknowledge that:
    1. agree to the Terms and Conditions and Privacy Policy;
    2. they will not act in a way that may have a negative effect;
    3. not use the services for illegal purposes;
    4. take any action that may violate the law;
    5. they will not use more than one Account to purchase Products or use a VPN connection.

10. Responsibility

  1. If THE SOFTWARE KINGS fails to comply with these Terms and Conditions, THE SOFTWARE KINGS is liable for any loss or damage suffered by the Customer that is a foreseeable result of THE SOFTWARE KINGS’s breach of these Terms and Conditions or NEGLIGENCE.
  2. The Seller only supplies the Products for domestic and private use.
  3. The Client acknowledges that THE SOFTWARE KINGS is only an intermediary platform for the marketing of the Products.

11. Events Outside the Control of THE SOFTWARE KINGS

  1. THE SOFTWARE KINGS shall not be liable for any failure to perform, or delay in performance, of any of its obligations under these Terms and Conditions that is caused by an Event Beyond the Control of THE SOFTWARE KINGS.
  2. An Event Outside the Control of THE SOFTWARE KINGS means any act or event beyond the reasonable control of THE SOFTWARE KINGS, including strikes, lockouts, civil commotion, riot, invasion, terrorist attack, war, fire, explosion, storm, flood, earthquake, epidemic or other natural disaster.
  3. If an Event Outside of THE SOFTWARE KINGS’s Control occurs:
    1. THE SOFTWARE KINGS will contact affected Customers as soon as reasonably practicable;
    2. THE SOFTWARE KINGS’s obligations under these Terms and Conditions will be suspended.

12. Complaints

  1. If Customers have experienced any violation of their rights, they have the right to file a complaint.
  2. The complaint must provide:
    1. Information about the order;
    2. what rights have been violated;
    3. Description of the circumstances.
  3. If the Customer purchased the Product but has not checked the activation code, they are entitled to request a refund within 14 days of purchase.
  4. Any dispute shall be finally settled in the respective court of the Republic of Lithuania.

13. Termination

  1. Customer may terminate the agreement by deleting its Account from the Website.
  2. THE SOFTWARE KINGS may terminate such agreement by deleting the Customer’s Account or blocking access.
  3. During the period of termination, the Client may not create another Account.

14. Final Provisions

  1. The Privacy Policy and documentation are an integral part of these Terms and Conditions.
  2. Without permission, Customers cannot transfer obligations to third parties.
  3. If any provision is held illegal, other provisions remain in effect.
  4. These Terms and Conditions are governed by United States law.
  5. No delay in exercising rights shall be deemed a waiver.
  6. All data stored may be used by THE SOFTWARE KINGS.

  8. Laws of different countries may restrict website services.
  9. The English version shall prevail over translations.
